SUPERFICIES LAWS IN THAILAND

The right of superficies is used when you build upon land you do not own. It creates the registered right to use the land and to own the structures you build upon the land without obtaining ownership rights over the land itself. A right of superficies may be established either for 1- a period of time up to 30-years, or 2- for life of the owner of the land or 3- for the life of the superficiary. A right of superficies registered for a specified term is a transferable and inheritable interest in land.

Right of Superficies in Thailand

A right of superficies is a real property right (attached to the land or part of the land area covered by title deed) and legally separates ownership over anything above the ground (building) from ownership of the land. A superficies must be registered and can only be created over titled land administrated by the Land Department.

Laws governing superficies can be found in the Civil and Commercial Code sections 1410 to 1416 (see further down this page).

Superficies and land lease

The right of superficies can be registered as a separate right or in combination with a land lease. Normally superficies is used by someone (e.g. a foreigner) who acquires a lease interest in titled land and uses the land for the construction of a building. A registered right of superficies is a strong supporting right to a lease agreement, e.g. you could loose your lease (termination upon death) but your superficies remains in full force and can be transferred to your heirs.

Right of Superficies registration

A superficies right must be entered in the Land Department's land registers and will be noted by the competent authority (the local or provincial Land Department's branch office) on the backside of the owner's land title deed copy. As a registered real property right it follows the title (it is attached to the land, not the owner of the land) and is enforceable against any third parties. The right of superficies is not extinguished by transfer of ownership of the land.

Registration fees are 1,1 % (this includes a 0,1% stamp duty) over the total consideration paid for the right of superficies, or if the superficies granted without the exchange of value (e.g. in combination with a land lease agreement) the registration will cost less than 100 baht per land plot.

Superficies and an existing building

In case of an existing building registration of a right of superficies will not be approved by the Land Department. Registration could be allowed after transfer of ownership of the structure separate from the land and after transfer fees and taxes have been paid (unless the person granted the right of superficies can proof he is already the owner of the house).

Section 1410. The owner of a piece of land may create a right of superficies in favour of another person by giving him the right to own, upon or under the land, buildings, structures or plantations.

มาตรา 1410 เจ้าของที่ดินอาจก่อให้เกิดสิทธิเหนือพื้นดินเป็นคุณแก่ บุคคลอื่น โดยให้บุคคลนั้นมีสิทธิเป็นเจ้าของโรงเรือน สิ่งปลูกสร้างหรือสิ่ง เพาะปลูก บนดินหรือใต้ดินนั้น

Section 1411. Unless otherwise provided in the act creating it, the right of superficies is transferable and transmissible by way of inheritance.

มาตรา 1411 ถ้ามิได้กำหนดไว้เป็นอย่างอื่นในนิติกรรมอันก่อให้เกิด สิทธิเหนือพื้นดินไซร้ ท่านว่าสิทธินั้นอาจโอนได้และรับมรดกกันได้

Section 1412. A right of superficies may be created either for a period of time or for life of the owner of the land or the superficiary.

If it is created for a period of time, the provisions of Section 1403 paragraph 3 shall apply mutatis mutandis

มาตรา 1412 สิทธิเหนือพื้นดินนั้นจะก่อให้เกิดโดยมีกำหนดเวลา หรือ ตลอดชีวิตเจ้าของที่ดิน หรือตลอดชีวิตผู้ทรงสิทธิเหนือพื้นดินนั้นก็ได้

ถ้าก่อให้เกิดสิทธิเหนือพื้นดินโดยมีกำหนดเวลาไซร้ ท่านให้นำบทบัญญัติ มาตรา 1403 วรรค 3 มาใช้บังคับโดยอนุโลม

Section 1413. If no period of time has been fixed, the right of superficies may be terminated at any time by any partner giving reasonable notice to the other. But when rent is to be paid, either one year's previous notice must be given or rent for one year paid.

มาตรา 1413 ถ้าสิทธิเหนือพื้นดินนั้นไม่มีกำหนดเวลาไซร้ ท่านว่าคู่กรณี ฝ่ายใดจะบอกเลิกเสียในเวลาใดก็ได้ แต่ต้องบอกล่วงหน้าแก่อีกฝ่ายหนึ่งตาม สมควร ถ้ามีค่าเช่าซึ่งจำต้องให้แก่กันไซร้ ท่านว่าต้องบอกล่วงหน้าปีหนึ่ง หรือให้ค่าเช่าปีหนึ่ง

Section 1414. If the superficiary fails to comply with essential conditions specified in the act creating superficies or, when rent is to be paid, he fails to pay it for two consecutive years, his right of superficies may be terminated.

มาตรา 1414 ถ้าผู้ทรงสิทธิเหนือพื้นดินละเลยไม่ปฏิบัติตามเงื่อนไขอั เป็นสารสำคัญซึ่งระบุไว้ในนิติกรรมก่อตั้งสิทธินั้นก็ดี หรือถ้ามีค่าเช่าซึ่งจะ ต้องให้แก่กัน แต่ผู้ทรงสิทธิเหนือพื้นดินละเลยไม่ชำระถึงสองปีติด ๆ กันก็ดี ท่านว่าคู่กรณีอีกฝ่ายหนึ่งจะบอกเลิกสิทธิเหนือพื้นดินก็ได้

Section 1415. The right of superficies is not extinguished by destruction of the buildings, structures or plantations even if caused by force majeure.

มาตรา 1415 สิทธิเหนือพื้นดินไม่สิ้นไปโดยเหตุที่โรงเรือนสิ่งปลูกสร้าง หรือสิ่งเพาะปลูกสลายไป แม้การสลายนั้นจะเป็นเพราะเหตุสุดวิสัย

Section 1416. When the right of superficies is extinguished, the superficiary may take away his buildings, structures or plantations, provided he restores the land to its former condition.

If instead of permitting the removal of the buildings, structures or plantations, the owner of the land notifies his intention to buy the at a market value, the superficiary may not refuse the offer except on reasonable ground.

มาตรา 1416 เมื่อสิทธิเหนือพื้นดินสิ้นไป ผู้ทรงสิทธิจะรื้อถอนโรงเรือน สิ่งปลูกสร้าง สิ่งเพาะปลูกของตนไปก็ได้ แต่ต้องทำให้ที่ดินเป็นตามเดิม

แต่ถ้าเจ้าของที่ดินจะไม่ยอมให้รื้อถอนไป และบอกเจตนาจะซื้อตาม ราคาท้องตลาดไซร้ ท่านว่าผู้ทรงสิทธิเหนือพื้นดินจะไม่ยอมขายไม่ได้ เว้นแต่ จะมีเหตุอันสมควร
